Data Processing Agreement (DPA) – CARE
This English text is for convenience. The German Auftragsverarbeitungsvertrag (AVV) is legally authoritative where applicable.
This Agreement is between Intelygence GmbH, Messdorfer Str. 12, 53121 Bonn, Germany (“Processor”), and the Customer (“Controller”).
1. Scope
This Agreement governs processing of personal data under Art. 28 GDPR.
It applies to the use of the CARE platform and forms part of the Terms of Service.
2. Subject and Duration
Processing relates to data entered by the Customer.
Duration corresponds to the main agreement.
3. Nature and Purpose
Processing includes:
- storage
- structuring
- analysis
Purpose: operation of the platform.
No processing for own purposes.
4. Types of Data
Data may include:
- names
- business contact details
- user-generated content
Data subjects may include employees and business partners.
5. Customer Obligations
The Customer is the controller and responsible for lawful processing.
6. Instructions
Processing is limited to platform use.
Individual instructions outside the platform are excluded.
7. Provider Obligations
The Provider:
- processes data only as instructed
- ensures confidentiality
- implements appropriate safeguards
Support is limited to reasonable efforts.
8. Security Measures
Appropriate technical and organizational measures are implemented.
9. Sub-processors
The Provider may engage sub-processors under GDPR-compliant agreements.
10. International Transfers
Transfers occur only with appropriate safeguards.
11. Deletion
Data is deleted after termination unless legally required otherwise.
No obligation for separate data return unless technically supported.
12. Audits
Information may be provided upon request.
On-site audits are excluded.
13. Liability
Liability follows the Terms of Service.
14. Final Provisions
German law applies.
